Welcome to Canleo LLC.

Canleo LLC ("Canleo LLC", "Canleo", "we", "us" or "our") hereby reminds our customers ("Customer", "you" or "your") that by accessing, accessing, browsing, using, or attempting to interact with any part of Canleo, you agree to accept that Canleo's products and/or services are subject to the following terms and conditions. These terms and conditions may be amended at any time and from time to time. Any changes will be effective immediately upon posting of the revised Terms and Conditions. Customer agrees by default to continue to access all changes to Canleo.

Accepting, changing, canceling orders

All orders should be placed online. Step 1: Add parts to cart> checkout> select shipping method> select payment method> submit order>order confirmation> delivery.

Orders may not be cancelled or rescheduled without Canleo's consent. Unpaid orders can be cancelled on the customer's account at their own discretion. If there are any changes to the paid order, the customer can call or email the support team in a timely manner. Non-standard products are products that Canleo must order specifically for customers from suppliers. This also includes orders for products that are not normally in stock, or that include value-added services in the product. Non-standard products are non-cancellable and non-refundable. Canleo may identify products as non-standard or "NC/NR" by a variety of means, including quotations, product listings, accessories, or exhibits. If, after Canleo has accepted Customer's order, Customer cancels an order, Canleo may require Customer to pay a reasonable cancellation or reliance fee. Client's request to reschedule is subject to acceptance at Canleo's sole discretion. Once the carrier has picked up the order, it may not be canceled or rescheduled.

Canleo reserves the right to cancel any order due to an unexpected shortage of supplies from the supplier.

Canleo reserves the right to refuse to transact with any company or individual.

Shipping and delivery

Canleo can use any of the available delivery methods. If a Canleo billing account is selected, shipping will be prepaid and added to your order. All import licenses, duties, duties, taxes, and brokerage fees are the responsibility of the customer. The timing of delivery and/or fulfillment is not critical and Canleo reserves the right to delay shipments for a number of reasons, including to carry out any necessary credit or anti-fraud checks or procedures, or to ensure that cleared funds have been received for full payment. In the event of a delay in shipment due to such reasons, Canleo will use reasonable efforts to notify the Customer.

Handling Fee/Restocking Fee

There is no minimum order amount required. However, in order to cover the labor cost, if the total value of the item is less than $15, a certain processing fee will be added to the customer's order. As soon as a customer places an order, Canleo will process the order immediately. This way, anyone who wishes to cancel a partial or entire order may incur a 15% restocking fee.

Price

Canleo endeavors to ensure that prices for supplies are accurately listed in the catalog, but does not guarantee the timeliness or accuracy of any such information. Quotes and pricing for undelivered products may change at any time, including, but not limited to, increased costs for Canleo, changes in market conditions, quotation errors, or any other cause beyond Canleo's reasonable control. Prices do not include taxes, levies and other charges, including sales, use, excise, value-added and similar taxes or fees imposed by any governmental authority, international shipping charges, freight forwarding and broker fees, bank charges, consular fees and documentation fees.

Canleo does not offer price protection services. The customer acknowledges that they are unable to cancel or return the product and that Canleo will not refund the price difference if the price of the product decreases after purchase, including but not limited to the following factors.

1. Canleo slashes prices for a clearance sale.

2. Canleo gets new inventory at a better price.

3. Canleo adjusts its prices based on market fluctuations.

payment

Payment should be 100% prepaid in case of any difficulties in processing the order. Canleo offers the following payment methods:

1. PayPal

2. Credit/Debit Card

3. Wire Transfer

The customer shall bear all bank charges such as wire transfer fees and intermediary bank charges. If there is any shortfall in the remittance amount given on the invoice, the shipment may be affected. The invoice will be automatically sent to the customer's purchase email address, or the customer can download the invoice directly from their Canleo account.

For all other orders, upon credit approval, payment terms are thirty (30) days from the invoice date, unless otherwise specified in writing by Canleo, payment is due in full and no payment is required. Canleo has reason to believe that Customer's ability to pay may be affected, or if Customer fails to pay any invoice on time, Canleo may suspend delivery of any order or any remaining balance until payment has been made, or cancel any order or any remaining balance. The customer remains responsible for paying for any products that have been shipped and for all non-standard products ordered by the customer. Customer agrees to submit such financial information as Canleo may reasonably request to determine the terms of credit and/or the continuation of the terms of credit.

Canleo reserves the right to establish and/or change the terms of credit and payment provided to Customer when Canleo, in its sole discretion, believes that Customer's financial condition or previous payment history warrants such action. In addition, in the case of delinquent accounts, Canleo is not obligated to continue to perform under any agreement with the customer.

Interest of 1.5% per month shall be charged on all late payments. If Customer fails to make timely payments, Canleo may seek any legal or equitable remedy.

Return Policy

Returns usually need to be submitted within 30 days from the date the package was delivered. Canleo will not accept return requests if it is not for quality reasons.

If Canleo agrees to accept the return, the return shipping costs must be prepaid by the customer.

Canleo does not accept cash on delivery shipments.

Some items may need to be returned directly to the manufacturer. All returned items must be in their original packaging, unused, untested, unprogrammed, and in resalable condition.

Customers should contact a customer service representative to obtain a return authorization.

Any returned ESD, programmable semiconductor, or moisture-sensitive goods that have been opened are not eligible for a refund.

Items returned solely due to customer error may be subject to a 15% restocking fee.

Non-cancellable/non-returnable

At the time of purchase, the customer understands that the "NC/NR" product is obtained exclusively for the customer by Canleo from the manufacturer. Regardless of the circumstances, Customer agrees that Customer shall not cancel, return or reschedule "NC/NR" Products without the consent of Canleo's supplier and with the consent of Canleo. If the package has been opened, products marked as moisture-sensitive or electrostatically sensitive (ESD) are NC/NR.

Inventory orders cannot be canceled once they have been shipped, and if a customer cancels after the order has been initiated at the Canleo warehouse, a fee of $0.5 per item will be charged.

The customer cannot cancel the backorder after the payment or any contracts and agreements have been confirmed. If you have to cancel due to insufficient supply, Canleo customer service will contact you.

force majeure

For any delay in delivery or failure to perform its obligations due to causes beyond its reasonable control, including, but not limited to, product distribution, material shortages, labor disputes, shipping delays, unforeseen circumstances, acts of God, acts or omissions of other parties, acts or omissions of civil or military authorities, government priorities, fires, strikes, floods, adverse weather conditions, computer outages, terrorism, epidemics, quarantine restrictions, riots, or war. Canleo's delivery or fulfillment time will be extended by such delay periods, or Canleo may, in its sole discretion and without liability, cancel any order or the remainder thereof by giving notice to the Customer.

guarantee

Canleo will assign to Customer any transferable warranties or indemnities provided to Customer by the manufacturer of the Product or the third-party supplier/service provider. Canleo shall have no liability to the customer beyond the express terms of such manufacturer's product warranty. Canleo is not responsible for the quality of the work performed or the services provided by third-party vendors/service providers. Customer is obligated to request a copy of any applicable manufacturer's warranty, and Customer shall be deemed to have accepted such warranty upon acceptance of the Products and/or Services.

All Canleo purchases come with a 30-day Canleo warranty against any manufacturing defects. This warranty does not apply to any item that is defective due to improper assembly by the customer, failure by the customer to follow instructions, modification of the product, negligence, or improper operation.

Limitation of Liability

In no event shall Canleo be liable to you or any third party for any indirect, incidental, special, consequential, punitive or exemplary damages (including, but not limited to, lost profits, lost savings, or loss of business opportunity) arising out of or in connection with any Product, even if we have been advised of the possibility of such damages. Subject to the foregoing, in no event shall Canleo's liability in connection with any product exceed the purchase price of the product, regardless of the legal theory of such liability, whether in contract, tort, warranty or otherwise. You acknowledge that the amounts payable for the Products are based in part on these limitations, and you further agree that these limitations shall apply even if any limited remedy fails of its essential purpose.

intellectual property

If any Product contains software or other intellectual property, such software or other intellectual property is provided by Canleo to Customer, subject to the copyright and user license (if any) of such product, the terms and conditions of which are set forth in the license agreement accompanying such software or other intellectual property. Nothing herein shall be construed as granting any right or license to use any software or other intellectual property in any manner or for any purpose not expressly permitted by such license agreement. The Customer acknowledges and understands that Canleo is not the manufacturer of any Product ordered or supplied to the Customer and shall not be liable to the Customer or any third party for any copyright, design or patent issues, rights or claims that may arise from any of the Products.

Export Terms of Use

The customer certifies that he or she will be the recipient of the product delivered by Canleo. Customer acknowledges that the Products are subject to the export and/or import control laws and regulations of each country and, by ordering, you agree that they will not be used for life support systems, human implants, nuclear facilities or systems, or any other application where the failure of the Product could result in loss of life or catastrophic property damage. The Customer shall be responsible for complying with any laws or regulations of the destination country regarding the importation of such products/services and for paying any applicable customs duties.

Customer warrants that it will not, directly or indirectly, export, re-export or transfer (or cause to be exported, re-exported or transferred) any items purchased from Canleo ELECTRONICS to any country, jurisdiction, person, company, organization or entity subject to sanctions or embargoes by the U.S. Government, the European Union or any other applicable governmental agency.

Customer agrees to assume full responsibility for the Products or for any breach of obligations related to export restrictions.

Due to numerous sanctions imposed on Russia and Belarus by governments and organizations around the world, Canleo will not ship any products to Russia, the Donetsk and Luhansk regions of Ukraine, and Belarus.

Customer agrees that Canleo shall not be liable in whole or in part for any claims, losses or damages arising from illegal sales or use by Customer. In the event of a breach of this Agreement by Customer, Customer will indemnify and hold Canleo harmless from and against any loss, claim or damage arising out of or resulting from such breach.

Governing Law and Dispute Resolution

Governing Law. The formation, performance, interpretation, modification and dispute resolution of this Agreement shall be governed by the laws of Hong Kong, excluding its conflict of law provisions. You agree that this Agreement is entered into in the United States.

Arbitration. Any dispute or controversy arising between you and Canleo based on this Agreement shall first be settled through friendly negotiation. If an amicable settlement cannot be reached, you unconditionally agree and agree that any claim, controversy or controversy (whether in contract, tort or otherwise) brought by you against any Canleo Entity, any directors, agents and employees of any Canleo Entity arising out of, relating to or in any way connected with Canleo arising out of, relating to or in any way connected with Canleo, shall be referred to the Hong Kong International Arbitration Centre (HKIAC) in accordance with the Rules by one (1) arbitrators to the Hong Kong International Arbitration Centre. The arbitration shall be conducted in Hong Kong, the arbitration proceedings and all pleadings and documentary evidence shall be conducted in English, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. You may bring a claim against Canleo only in your individual capacity and not as a plaintiff or class member in any class or representative action or proceeding.

routine

As used herein, terms in the singular shall include the plural, and terms in the plural shall include the singular. Customer may not assign or transfer any rights, liabilities, agreements or obligations under this Agreement, whether by operation of law, consolidation or otherwise, without the prior written consent of Canleo. Any attempted or purported assignment shall be null and void. Canleo's obligations under these Terms and Conditions may be performed by a division, subsidiary or affiliate of Canleo. The obligations, rights, terms and conditions of this Agreement shall be binding upon the parties hereto and their respective successors and assigns. No waiver of any provision of this Agreement or any breach or non-performance of any provision of this Agreement shall be deemed a waiver of any other provision of this Agreement, or a breach or non-performance of any provision of this Agreement. Any provision that is prohibited or unenforceable in any jurisdiction shall, to the extent of such prohibition or unenforceability, be ineffective to the extent such prohibition or unenforceability with respect to that jurisdiction, and shall not invalidate the remaining provisions of such jurisdiction and will not affect the validity or enforceability of such provision in any other jurisdiction.
